Senior Corporate Counsel – International/OUS Commercial 
 

In the capacity of Senior Corporate Counsel, you will partner with various business departments comprising the international business team to support the Company’s commercial interests outside of the US and North America (”OUS”). The Senior Corporate Counsel for International OUS Commercial is responsible for direct and indirect sales and distributor contracts. In this role, you will partner with other members of Omnicell’s legal team for non-commercial matters including M&A, employment, international privacy and compliance in support of the OUS organization. This position reports to the Senior Director, Associate General Counsel – Commercial. 

Responsibilities:
It is essential that the individual can:

Understand the intricacies of the Company’s OUS business model and strategic objectives and how they should be represented in commercial contracting; Effectively structure, draft and negotiate complex commercial agreements, including XaaS, complex technology, distribution, international direct sales, licensing and other contracts; Provide guidance and assistance to, and work cross functionally with, other members of Omnicell’s legal team and internal departments such as Sales, Professional Service, Product Management, Human Resources, Finance, Marketing, Manufacturing, Facilities, Quality, Compliance etc., on contracts and legal matters, as applicable; Work collaboratively with members of the International/OUS Senior Leadership Team to support strategic initiatives and goals for the international/OUS business; Effectively and efficiently manage outside counsel from across the globe Mentor others on his/her team who operate in an intensive and time-sensitive environment; Ensure and implement corporate contract governance, compliance and best practices; Internal legal lead on international/OUS business development and mergers and acquisitions – including coordinating tasks with internal and external parties, communicating with the targets legal counsel, reviewing due diligence materials, providing risk analysis and internal guidance.

Required Knowledge and Skills:

The ideal candidate will have the following skills and conditions:

Ability to manage, advise and mentor dotted line support resources that operate in an intensive and time-sensitive contracting environment to support international/OUS both strategically and on a day to day operational level Ability to liaise with and manage multiple outside counsel relationships across all of international/OUS  Ability to draft, negotiate and manage international/OUS sales contracts; Ability to understand Company’s product offerings which include complex hardware and software offerings General knowledge of current applicable international regulatory and compliance requirements and ability to absorb and interpret future requirements; Ability to work within and leverage cross-functional teams, and be persuasive up, down and across the organization within international/OUS; Ability to work proactively, collaboratively and persuasively with internal and external clients to solve problems while protecting company interests; Ability to analyze complex facts and legal concepts accurately and timely, explain them to internal stakeholders, and then develop appropriate recommendations within a business solution context; Strong working knowledge of UK commercial law and National Health Service contracting models General knowledge of procurement and commercial law in different international countries. Proven track record of excellent judgment and problem solving skills; Detail oriented with a high degree of organization and follow through;  Strong technology, software, hardware and services experience, including data privacy, and cloud-based technology; Attention to detail and the ability to multi-task, and work under time pressure; Proven communication skills - written, oral and presentation;  A “Get Things Done” mindset and ability to find and present simple, practical and actionable solutions to complex problems; Willingness to be flexible and adaptive in a highly dynamic environment; and Demonstrated courage to do what is right, champion good ideas, make tough decisions and take unpopular stand if required.

 

Basic Qualifications: 

Show successful completion of a law degree from an accredited law school and be licensed to practice law in the United Kingdom. Five or more years’ experience in a large law firm or in-house public or private company having substantial international operations experience. Seven or more years’ experience with complex commercial transactions including sales agreements, distribution agreements, NHS contracts and technology transactions.  Some experience with M&A transactions is preferred but not an absolute. Previous experience in healthcare and/or healthcare technology is preferred but not an absolute.
