Senior Manager, Corporate Development & Planning

Eaton is hiring a Senior Manager of Corporate Development and Planning at our Corporate Headquarters in Cleveland, OH. Since 2019, this team has made 12 acquisitions and deployed nearly $7B while simultaneously divesting 4 businesses for nearly $5B. These transactions have reshaped our portfolio and positioned Eaton for higher growth, higher margins, and more consistent earnings.   Relocation is offered for this position and 10% travel is required. 


Reporting to the Vice President of Corporate Development and Planning, the primary function of this position is to lead or co-lead our strategic planning projects and mergers and acquisitions (M&A) processes. This position will assess strategic and financial attractiveness of M&A opportunities and work with Eaton’s corporate, sector, and business leaders to advocate and execute acquisitions, divestitures, and joint ventures; to develop business plans, valuation models, and strategic rationale for M&A projects and lead or assist strategic planning projects.  


A Senior Manager of Corporate Development and Planning (CD&P) is responsible for our corporate development and planning activities--including individually leading selected phases of projects with limited oversight--which includes assessing strategic and financial attractiveness of M&A opportunities, leading business teams in refining acquisition strategies, co-leading cross-functional due diligence teams, co-managing the relationship with the counterparty and its advisors, recommending valuations and pricing, understanding business issues and risks to recommend and outline appropriate transaction agreements. Post-signing, the Senior Manager co-leads the  transaction to completion and assists with the transition to our integration teams. The Senior Manager also works to help shape Eaton’s corporate strategy, performing financial analysis and industry research, collaborating with Eaton’s Corporate Development leaders, and other company leadership, and assembling presentation materials that are shared with Eaton’s Board of Directors and Investor community.
 

What you’ll do:

•    Leads teams through acquisition, divestiture, and joint venture processes.
•    Conducts analysis to understand and frame thinking on key strategic issues to drive strategy for the entire corporation.
•    Leads company, market, and industry analysis; assesses attractiveness and identifies potential acquisition opportunities.
•    Works with CD&P project lead to synthesize strategy, valuation, and due diligence findings to develop communications for management and Board reviews while also collaborating with our legal team, functional leaders, and business leaders to develop transaction documents
•    Manages M&A due diligence efforts across corporate functional and business operating teams; prepares valuations and/or directs internal resources.
•    Supports and participates in contract negotiations; assists in developing negotiation strategies.
•    Collaborates with business teams to develop complete business cases with strategic and financial analyses.
•    Develops value creating corporate strategies by performing financial analysis and industry research and collaborating with leaders across the company; builds effective corporate strategy presentations for Eaton’s senior leadership, Board of Directors, and external audiences.
•    Develops accurate and efficient financial models for valuations, benchmarking, and planning purposes.
 

Qualifications:

Basic (Required) Qualifications:
•    Master’s degree from an accredited institution. 
•    Minimum eight (8) years’ experience in finance, strategy, and/or mergers and acquisitions (M&A).
•    Minimum two (2) years working in M&A with practical experience in all stages of M&A processes.
•    Must be legally authorized to work in the United States without company sponsorship now or in the future. 
Preferred Qualifications: 
•    MBA degree. 
•    Experience in corporate development, investment banking and strategy consulting.

The expected annual salary range for this role is $153749.97 - $225499.96 a year.  This role is also eligible for a variable incentive program.
