Your role:

As Senior Corporate Counsel MVentures you will advise the MVentures team and internal stakeholders on a wide range of legal matters related to venture capital transactions, including investment structuring, drafting and negotiating transaction documents, regulatory compliance and corporate governance. As a member of LE-XPERTS you will be involved in several team and overall deparment LE-Legal & Compliance initiatives to further support the department's change journey and enhance cross-collaboration and your individual development. As a trusted advisor you will consult with the MVentures board on their growth path.  

Your role implies balancing the different interests and driving the Company's business strategy but also defining workable solutions regarding significant antitrust, compliance and tax challenges. The scale up of the MVentures business will also require thorough, broad-ranging legal support that goes beyond private equity and venture capital experience. 

You will manage internal stakeholders as well as external joint venture partners and service providers, taking into account specific corporate governance aspects of our venture capital investments. This will, in particular, include aligning the interests of MVentures and will need professional alignment with senior management. Furthermore, you will build the bridge between the business and the relevant company Enabling Functions as well as our various internal Legal and Compliance teams and external lawyers. 

Your Main Responsibilities: 

Work with MVentures team to draft, review and negotiate term sheets and investment documents from a legal and business perspective 

Review and advise on portfolio company actions, including review of follow on investment documents and requests for board or shareholder consents and day to day compliance related to the portfolio companies 

Direct and work with outside counsel on transaction process from start to finish, including coordination of corporate legal diligence on VC targets 

Advise on matters related to deal strategy and regulatory filings related to MVentures deals 

Who you are: 

Legal degree with a minimum of 6 years of experience working as a lawyer, preferably in an international law firm and in a venture fund 

Experience in international venture capital deals, M&A transactions and corporate law expertise is a must 

Familiarity with international regulatory environments and compliance requirements; experience in competition law and/or FDI regulations is a plus 

Comfortable working and interacting with all levels of management, including senior management 

Process oriented, able to multi-task and act under pressure with tight deadlines 

Proven track record of stakeholder management capabilities

Excellent attention to detail, oral and written communication skills and project management skills 

Self-motivated and dedication to completing deliverables in a timely and effective manner  

Open, energetic, empathic, proactive 

Solution-oriented, pragmatic working style, team player and ability to work independently with limited oversight 

Fluent oral and written English; German or Dutch is a plus
