The Senior Legal Counsel will be responsible for providing general legal support for the two of the business divisions of the Company. The Senior Legal Counsel will also assist in the development and implementation of Company policies, strategies, and initiatives as well as other general corporate initiatives. This is a broad-based role that will include responsibility for a wide range of legal matters, including commercial transactions, corporate governance, real estate leasing, legal and regulatory compliance, and employment matters. The Senior Legal Counsel will report to the Company’s Vice President/General Counsel and work closely with other members of the Law Department and stakeholders throughout the Company.
You will have an opportunity to:
Provide general legal services to support the business operations of the Company
Negotiate, draft, and review a variety of commercial agreements, including sales contracts and supplier contracts
Draft and update standard terms and conditions and forms of agreements, and review requests to deviate from standard terms or forms
Provide legal support and guidance to internal stakeholders regarding customer and supplier transactions and relationships
Research and analyze federal, state, and local laws and regulations as they relate to the Company’s business and propose strategies for compliance
Provide general legal support with respect to employment and employee benefits matters
Provide legal support for real estate transactions and lease negotiations
With the assistance of outside counsel, maintain the Company’s intellectual property portfolio and apply for new intellectual property registrations
Draft and update corporate policies and procedures, and provide training on those policies and procedures, as necessary
Provide support for the corporate compliance program as needed including training
Coordinate, manage and consult with outside counsel, as necessary
Assist with transactional due diligence, as necessary
Travel, as necessary
Perform additional duties as assigned
REQUIREMENTS:
Juris Doctorate from an American Bar Association accredited US law school
Minimum eight years of experience at a law firm or in-house legal department, with a general focus on corporate/commercial legal matters
Excellent oral and written communication skills
Ability to analyze complex legal issues and provide recommendations for well-reasoned, practical solutions and alternatives
Strong work ethic and demonstrated ability to manage a high-volume workload with minimal supervision
Ability to effectively work within a team and confidently interact with all levels of internal and external personnel
PREFERRED QUALIFICATIONS:
Prior experience working in an in-house legal department
Significant experience in drafting, negotiating, and providing counsel on commercial transactional matters
Experience in reviewing government contracts
Experience in general intellectual property matters
Experience in merger and acquisition matters

The selection of the person to be hired for this position is contingent on the candidate having export compliance eligibility for access to U.S. controlled technology which comes under the licensing jurisdiction of the U.S. Department of State, International Traffic in Arms Regulations (ITAR) and the U.S. Department of Commerce, Export Administration Regulations (EAR).
