AP seeks a Senior Counsel – M&A to join its growing legal department and help continue to execute on AP’s aggressive M&A strategy. AP’s legal team serves a dynamic business that has skyrocketed from a start-up in 2011  to a  $2.7 billion company in 2024  with more  than  10,000 employees across  the  United  States  and Europe. AP  needs a skilled, adaptable lawyer with a keen business mind to help fuel its continued  M&A success and its pursuit of IPO readiness as part of the next chapter of its journey.

 

This role will sit in AP’s corporate headquarters in Downtown Orlando, Florida and report to the VP & Associate General Counsel – M&A & Governance.

What You'll Do

Senior Counsel – M&A will be responsible for supporting business partners across the country by working on a significant volume of acquisitions, and related deal matters, ranging from drafting LOIs to the consummation and integration of a successful business partner into the AP enterprise.

 

What you’ll do (and requirements for the position):

Strategic M&A  support  and  management  across  a  range  of  transactions  (asset,  stock,  book  of business purchases, etc.).Strong technical background in deal structuring, robust diligence, risk management and issue spotting.Provide advice and counsel to internal M&A business team and regional leadership considering and executing on the robust and dynamic M&A pipeline.Demonstrated proficiency in drafting a wide range of agreements, including NDAs, LOIs, purchase agreements, transition service agreements, escrows, leases, employment documentation, additionalcustomary transaction documents.Strong desire to be part of the larger business M&A team and proven collegial personality focused on building internal relationships with our M&A specific teams- financial diligence, regional leadership, and corporate functions, etc.Prior experience working and managing paralegal and support staff.Commitment to tracking vital trends across our M&A pipeline and working with the larger M&A LegalTeam to seek workflow improvements and efficiencies using technology.
