The Senior Counsel will provide expert legal and transactional counsel to global business operations, with a focus on Pall’s business in the Americas region with particular focus on the Energy+ and Aerospace. The successful candidate’s work will focus on building contractual relationships with customers and vendors to ensure the successful sale, development, and manufacture of Pall products. This position is part of the Legal department located in Port Washington, NY and will be on-site. In this role, you will have the opportunity to: + Learn what is required to be a senior leader in a multinational corporate legal organization, by working independently as the lead day-to-day attorney for two or more of the company’s business units and the related support functions, helping to enable the units’ strategy and operations by providing practical, solution-oriented approaches to a broad range of complex legal issues and risks, and then writing and negotiating agreements addressing those issues and risks. + Obtain a work history that demonstrates business acumen and a pragmatic approach to legal solutions. + Provide front-line legal counsel for sales and purchasing contracting needs, including legal support in a broad range of areas: (1) general commercial support for domestic and international manufacturing and procurement; (2) strategic procurement with project support and collaboration; (3) drafting, negotiation, and counseling related to sales, supply and maintenance contracts, master services agreements, blanket purchase agreements, engineering and construction services and other general vendor and similar-type agreements; (4) federal government contracting; and (5) continuously improving efficient systems and content for legal service delivery and training. + Collaborate with cross-functional business and engineering teams to strategize on, draft, and negotiate a wide range of commercial and federal contracting agreements, with a focus on master service agreements, technology licenses, development agreements, supply agreements, manufacturing agreements, and MOUs. The essential requirements of the job include: + General industry knowledge as to the challenges faced with customer, vendor and supplier transactions, including contract negotiation considerations on warranties, indemnity, risk management and compliance; and be able to provide client training on legal issues, collaboration on strategic procurement practices / processes, plus capture and counsel on dispute resolution items. + The skills and judgment necessary to advise clients regarding high value transactions, multi-faceted risk scenarios, negotiation of complex commercial and federal contracting agreements, occasional emerging disputes, and the provision of prompt and pragmatic advice on critical legal and strategic issues. + Minimum of 10 years of experience in a corporate legal department or in private practice with relevant transactional, commercial, and federal government contracting responsibility preferred + Excellent communication skills, with the ability to communicate and work effectively with associates at all levels of the company Pall Corporation, a Danaher company, offers a broad array of comprehensive, competitive benefit programs that add value to our lives. This is the range that we in good faith believe is the range of possible compensation for this role at the time of this posting. This range may be modified in the future. This job is also eligible for bonus/incentive pay. We offer comprehensive package of benefits including paid time off, medical/dental/vision insurance and 401(k) to eligible employees.
