SA - Contracts Administrator & Company Secretarial Officer

Summary of Role:

 

This role comprises two key areas:

1)      Contracts Administrator role

2)     Company Secretarial Officer role

 

Contracts Administrator role

The Contracts Administrator provides assistance and support to the Head of Plus MAMSA in respect of all projects in operations. The role of the Contracts Administrator is to ensure that all contracts are properly executed, handle change management and ensure that the parties to the contracts are complying with their contractual obligations.

 

The Contracts Administrator’s responsibilities include: Drafting of contractual notices, early warnings and correspondences on an ongoing basis Monitoring and ensuring compliance with contractual obligations (tracked through an obligations register). Drafting and updating a variety of contractual registers including contract registers, early warning registers, bond registers, action registers. Assisting the health and safety team with agreements required by the Occupational Health and Safety Act. Drafting of a variety of contracts including consultancy agreements, site work agreements, professional service agreements and any other agreement as required by the engineering and operations teams  (these are based on either FIDIC terms or company bespoke terms). Drafting of any variation orders or amendments to contracts. Assist with assessment and negotiation of contractual claims and issuing written responses thereto. Assist with resolving contractual disputes or other contractual issues that arise. Providing contractual and legal support Assist with contractual inputs in respect to required project reporting. The Contracts Administrator works to ensure the efficient administration and management of a wide variety of contracts including, finance agreements, management agreements,  engineering agreements and service agreements.

 

Company Secretarial Officer role

The purpose of this role is to support the Head of Plus MAMSA in providing high quality advice and specialist support across a broad range of company secretarial tasks and activities, in particular in relation to the smooth running and effectiveness of the Special Purpose Vehicles, Trusts, Boards and Committees.

Managing the arrangement and preparation of Board Meetings, notices of meetings, the agenda, record of proceedings and minute taking. Managing changes to directors and officers on group companies and ensuring the appropriate statutory registers are up to date. Preparing various board and shareholder resolutions, in compliance with requirements of the entities’ constitutional documents and the Companies Act. Documentation and file management of all constitutional documents, board and shareholder resolutions, share registers, share certificates, CIPC documents and other related company secretarial forms/documents. Managing routine company secretarial duties and annual filings as and when required in compliance with South African company law and regulatory requirements. As required, provide Board support in meeting corporate governance, statutory and regulatory requirements. Ensure Board compliance with all relevant legislation, including but not limited to, the Companies Act and King IV Deal with confidential material in a professional and discretionary manner.

 What you will do:

As the Contracts Administrator and Company Secretarial Officer you will actively take part in all operation team needs as they relate to the projects.  There are currently two projects under construction with one project reaching operations in May 2025. You will be highly involved in both of these two projects. Your role requires you to perform a combination of functions including drafting and legal review along with interface with a wide variety of people and teams. You will be required to assist in the facilitation of all Board and Committee meetings for the relevant Special Purpose Vehicles. The Asset Management Teams role is to ensure that the value in these Projects is protected over the long term. The Contracts Administrator forms part of the Asset Management team, providing contractual and legal support to ultimately achieve this goal.

 

 What we require:

A Bachelor of Laws (LLB) and Registration as a Chartered Secretary (CIS) will be an advantage. Completion of 2 years of articles and admitted as an Attorney of the High Court of South Africa (or 2 years of articles have been completed and about to be admitted i.e. awaiting admission court date). Mainstream is looking for someone who is newly admitted or about to be admitted and who is interested in working in-house. 3 to 5 years of experience in a Company Secretariat department in a public or private sector organisation.Strong organisational skills, a confident manner and the ability to communicate clearly with individuals across the business, at all levels. Excellent verbal and written English communication skills, ood drafting skills (ability to draft correspondence, notices, variety of contracts), Proactive, highly motivated and flexible, Ability to work with varying seniority levels, including staff, managers and external partners, Experienced with MS Office including Word, Excel,  Outlook and PowerPoint, Ability to build effective interpersonal relationships and contribute to a positive/productive team environment, Excellent analytical and organizational skills Has a positive attitude with a problem solving nature.
