The Securities Act of Montana (Act) is designed to protect investors and persons engaged in securities transactions. Additionally, the Act requires the Securities Division to encourage, promote, and facilitate Montana investment opportunities while promoting uniformity among the states. Together, these three tasks—/investor protection, capital formation, and uniformity/—guide our processes and policies. The Division accomplishes this through the following: * Educating Montana’s consumers and investors on securities. * Investigating securities and financial fraud. * Encouraging capital investment in Montana. * Promoting uniformity in the market through oversight of the securities industry. * Examining the securities industry for compliance with the Montana Securities Act. * Participation in the North American Securities Association (NASAA), and collaboration with other state regulators. The Paralegal serves the Division’s mission by undertaking in-depth reviews of non-routine filings, including consulting and reviewing routine registrations which require additional input, to ensure compliance with the Montana Securities Act and works under the direction of the Deputy Securities Commissioner and agency attorneys on important issues affecting the securities industry. Responsibilities include, among others: * Providing in-depth review of all non-routine registration filings (e.g., Registration by Coordination; Registration by Qualification; Reg A, Tier II) and developing a working understanding of routine registration filings which may be elevated for review. * Coordinating with other states on complex registrations that require a heightened level or multi-state review. * Providing in-depth review of multi-level marketing company applications and amendments. * Conducting detailed reviews of new investment advisor firm registration applications and amendments (e.g., Form ADV). * Communicating with registrants about deficiencies following such reviews, tracking and assessing responses, and making decisions as to compliance with the Montana Securities Act. * Providing review and consultation on non-routine individual or firm registrations as needed (e.g., where heightened supervision may be necessary). * Drafting and shepherding administrative rule changes. * Monitoring of trends and changes in the registration landscape, including through participation in multi-state initiatives and groups. * Generally perform paralegal functions for the CSI such as, but not limited to, conducting legal research, drafting legal documents, and assisting attorneys with administrative and criminal cases (including discovery management) The agency prosecutes actions in state courts, federal courts, and administrative tribunals. * Ensuring accurate information is provided in response to inquiries from the public and industry. All Securities Division staff respond to hotline calls from the public and industry. * Serving as a back-up to compliance technician in processing routine registration filings. * Assisting the Deputy Securities Commissioner, Outreach staff, or Legal Division in investor outreach, capital formation outreach, and financial literacy efforts. * Performing other administrative duties to assist the Securities or Legal divisions as needed. This position also requires knowledge of the following: * Federal Rules of Civil Procedure, Montana Rules of Civil Procedure, and administrative and court rules. * Legal and technical research standards and procedures using a wide range of internal, external, online, and printed sources. * Codes for the federal, state, and administrative court systems. * Experience using Clio case management software and Lexis Advance helpful, but not required. *Minimum Educational and Experience Requirement: * * A high school diploma or its equivalent; and * At least five years of progressive experience working in a legal environment, with at least three of those years in a paralegal position. An applicant without the requisite minimum experience may be hired under a training assignment at an annual base salary below the base pay established by the agency pay rules.
