Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience and practice specialisms across all countries and territories in which our businesses operate.

We are currently seeking a high calibre professional to join our team as a Managing Associate General Counsel, North Asia Global Trade Services

Purpose of the Job

The successful candidate will report to the Deputy General Counsel, Asia Pacific Regional Head of Commercial Banking and will be based in Hong Kong. The primary focus of the role is to ensure that consistently high-quality legal support is provided to the Global Trade Services (“GTS”) business operating in Hong Kong, China, Japan and Korea (“North Asia”).The North Asia GTS business offers the following trade products (without limitation) across all customer segments (business banking to large corporates and multinationals) (collectively, “GTS Products”):
Receivables FinancingCore trade finance (e.g. bank guarantee, LC and SBLC facilities)Structured trade finance, including:Commodity structured trade financeSupply chain solutionsAsset-based lendingESG-related trade finance

Principal Responsibilities and Accountabilities

Day-to-day, this role is required to support the North Asia GTS bankers and senior management, on a range of transactional, strategic, reputational and other legal matters. This includes playing a leading role on GTS Product specific governance committees and business-led projects and initiatives. In addition, the holder of this role is required to provide leadership and guidance to the GTS lawyers across North Asia.This role requires direct and indirect management of a team of lawyers (currently consists of 4 lawyers).Providing expert and strategic legal advice, guidance and support to ensure that legal and reputational risks of the North Asia GTS business are proactively identified and mitigated.Support and promote the strategic growth of the North Asia GTS business.Coordinating and managing relationships between internal and external stakeholders, businesses and support functions.Attending various governance forums and GTS North Asia Exco. Assisting with the preparation, negotiation and review of various legal documents including financing terms, confidentiality agreements (including consideration of conflicts of interest issues), engagement letters, mandates, pitch materials, term sheets, finance documents, legal opinions and other transactional documents and agreements.Providing advice that is pragmatic and commercially sound, in addition to being legally sound, aligned with HSBC’s strategy and within HSBC’s risk parameters.Collaborating with lawyers globally and regionally to promote consistency in approach.Providing legal input on local, regional and / or global legal projects.Promoting the adoption of best practice and documentation standards, including representing HSBC at industry associations (as required).To act as mentor to more junior members of the legal function.

Impact on the Business

Manage, supervise and lead (a) advisory legal support and (b) transactional legal support for the North Asia GTS business.Provide counsel and legal support on a variety of legal, transactional/documentation, execution and structural matters.To be considered to be a trusted adviser and partner to the business by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective mannerImplement legal policies to ensure that the Group’s exposure to global legal risks is managed appropriately within jobholder’s areas of expertise.

Provide prompt, commercial, practical and high quality complex legal and contractual advice.Be proactive in the provision of legal and contractual support.Ensure relevant senior management are fully briefed on material issues arising in relevant business area and major legislative changes in area of expertise.Recommend selection and supervise panel law firms and other appropriate external parties.Deliver fair outcomes for our customers and ensure own conduct maintains the orderly and transparent operation of financial markets.Support the strategic growth of the North Asia GTS business.
