General Purpose

Under minimal supervision, the Legal Operations Manager will act as a key member of the MillerKnoll Global Legal and Compliance team. The Legal Operations Manager will assist with a variety of matters in support of the General Counsel and Corporate Secretary, including support of the Company’s Board and Corporate Governance. The role will be responsible for budget management and reporting, in addition to the development, implementation and enhancements of programs, process, and workflows in support of the Legal team. The role will also facilitate legal department communication, overseeing iManage (the Legal team’s matter management system), developing and maintaining Global Legal content (on the web, for internal use and for use with the business).

Essential Functions

Corporate Governance

Manage Board content:

Proofread and edit MillerKnoll Board of Director and Committee documents, upon request, including subsidiary boards.

Upload key documents to Directors Desk Portal once final.

Coordinate timely development of Board Committee content in partnership with the management committee liaisons.

Review Board and Committee meeting minutes and apply GC signature once approved.

Upload final meeting minutes into external auditor portal.

Support filing required Legal materials into the Board materials packet.

Schedule meetings with Committee Chairs, as needed prior to Committee meetings.

Assist in developing forward looking Board and Committee meeting dates based on Finance calendar.

Coordinate quarterly reviews with portal vendor for support, client requests.

Storage of final documents in O: shared drive and Legal SharePoint site.

Close communications/ coordination with General Counsel/ Deputy General Counsel on Committee document preparation.

Manage process to support quarterly Legal Letters to External Auditor:

Communicate project timelines to members of the Legal LT and other attorneys.

Coordination of key edits on draft document, including supplemental notes supporting legal matters.

Collaborate with Deputy General Counsel/ General Counsel to prepare final versions and apply digital signature.

Send to Finance leads to coordinate final package to KPMG.

Processing signature requests on key legal/ finance documents:

Coordinate with requestors for digital or “wet” ink signatures on key legal and finance documents.

Verify review by legal/ paralegals to confirm proper signatories for each entity.

Electronically file all signed documents by General Counsel and other business leaders.

Redistribute signed documents, back to requestor or others identified in the request (Email or FedEx).

Use DocuSign platform as needed.

Board of Directors Manual:

Collaborate with General Counsel and Deputy General Counsel to update manual as needed, at least on a bi-annual basis.

Upload to Directors Desk for access by Board Directors.

Support Legal & Compliance Function

Global Team Communications Management:

Create/maintain Legal Roadshow document to help market Legal Team.

Maintain primary distribution lists for Global Legal teams in Outlook Contacts.

Process Definition and Reporting:

Identify key, repeatable processes across the Legal & Compliance team.

Identify key reports for distribution to the Legal Leadership Team and for Key Clients (e.g., Intellectual Property reporting for sharing with the Leadership Team, Product Leadership and other relevant stakeholders).

Identify opportunities to leverage AI to drive efficiencies across Legal and Compliance function.

Website Updates for Legal:

Complete WRIKE requests to keep information published on MillerKnoll.com current for topics under the legal tab.

Writing/ Proofreading:

Create/edit presentations, reports, other documents for a wide audience: Board Directors, LT, Legal LT, Global Legal Team.

Vendor Management:

Support RFPs as part of vendor selection in partnership with Procurement.

Create expenditure approval requests and process payments in Maximo.

Work with Procurement to create/extend relevant contacts.

Provide Travel Planning and Expense Management Support:

Book business travel, manage expense reports for General Counsel.

Onboard new Legal & Compliance Associates:

Work with HR Business Partner to create/maintain a new employee onboarding checklist.

Schedule necessary internal meet & greet meeting, ensure key contacts are shared for internal support, etc.

Administrative Support to General Counsel and Members of the Legal Leadership Team:

Assist with scheduling meets, global team calls.

Assist with invoice approval and processing.

Assist with expense reports for the Legal Leadership Team.

Education/Experience

Bachelor’s degree or paralegal certificate.

3 – 5 years of professional experience in a business law firm or corporate legal department preferred.

Prior experience supporting a public company Board of Directors.

Experience managing projects and people in a fast-paced agile environment.

Change agent who can influence and anticipate potential needs of the Legal & Compliance team.

Exceptional attention to detail.

Ability to proof and edit Board-level content.

Excellent organization and communication skill.
