Job Description

Provide legal advice and support to all Continental divisions in Japan in all legal and especially commercial and contractual matters.  This comprises the initiation and execution of contractual relationships and could include the handling of warranty claims and legal disputes. The Legal Counsel will review, negotiate, manage and maintain the respective contracts together with the managers in charge of the business and manages the relation with external counsels. Responsibilities also include commercial legal support for Continental’s Automotive, Tire and ContiTech businesses.

Review commercial contracts including, without limitation, non-disclosure and confidentiality agreements, development agreements, various customer contracts, marketing and advertising agreements, distribution, transportation and logistics agreements, supplier contracts, and contracts for the purchase of production and non-production materials.Advise on competition law, digital law, real estate law, energy and environmental law, bankruptcy and insolvency law, customs, import/ export law and criminal law.Provide broad commercial legal support to various business units and departments of the Company in support of relationship with designated automotive original equipment manufacturer (OEM) customers in furtherance of business goals and objectives.Draft, review and negotiate various legal documents, contracts and other agreements with our automotive and other customers covering all business operations.Develop, maintain and update contract templates to improve the contract management process.Work closely with the operation/project team to proactively support a wide range of regional and international transactions (i.e., sales, research and development, supply and services, warranty, etc.) for the maximum realization of business opportunities.Manage disputes and legal proceedings effectively and provide practice-oriented solutions to the management for dispute resolution and protect the company's interest in a timely and efficient way.Develop hands-on working relationships with business partners, especially key account management and sales, at all levels and play as a team member within the Global Law Department and the Company.Manage external attorneys effectively.

QualificationsFully licensed lawyer/bar admission in Japan, with at least 3 years’ experience in an international law firm and/or company;Solid judgment, legal and business acumen and understanding of business operations;Self-motivated and efficient, able to work independently and in groups, with good business judgment and analytical skills;Forward-thinking and creative, with the confidence to present and advocate for the implementation of ideas;Ability to explain challenging legal issues in a clear manner to all levels of the organization, including senior management;Ability to work directly with and gain the confidence of (senior) management;Demonstrated ability to prioritize effectively and to make and implement tough and potentially unpopular decisions;Clear understanding and adherence to ethical principles, company values, code of conduct and policies; and Fluent in both English and Japanese.
