Job Description

Core Responsibilities:

Leading all aspects of corporate secretarial work for UK and certain EMEA entities and managing, and ensuring the professional growth of, the EMEA CoSec team (consisting of two additional CoSec professionals in the UK)Ensuring that the internal Global Entity Management System (GEMS) is kept up-to-date, including updating for changes relating to directors, registered offices, share capital, share transfers, liquidations and dissolutions across EMEAPreparing and/or coordinating the corporate filings (with Companies House or equivalents) for UK and EMEA entities, with support from local counsel or local corporate secretariat providersBeing the point of contact for Companies House correspondence and other information requests (such as KYC, corporate governance disclosures, UBO confirmation, passport and utility bill certification, generation of structure charts, and confirmation of signing authorities)Drafting certain standard documents (e.g., board approvals, shareholders’ resolutions, minutes and Companies House forms) in relation to UK accounts approvals and other ad hoc standard UK processes (e.g., changes of directors, registered addresses, PSCs)Collecting, organising and maintaining internal EMEA corporate recordsImplementing director changes across the UK and various EMEA jurisdictions, and conducting inductions and trainings for new directorsAssisting with the granting of EMEA powers of attorney and delegationsScheduling and running certain quarterly meetings (e.g., internal business and risk committees and other subsidiary boards), by preparing agendas, coordinating reports from key stakeholders, managing board packs, minuting, etc.Managing outside legal counsel and CoSec providers in the UK and across EMEALiaising with UK notaries in respect of notarisation, legalisation and/or apostilling processesCollaborating with the Legal and CoSec teams in EMEA, Americas and APACSupporting the Tax and Finance teams on internal transactions, including restructuring projects, capital contributions, intragroup loan arrangements and liquidations/dissolutionsSupporting EMEA Legal on CoSec-related aspects of mergers, acquisitions and divestituresKeeping up-to-date and advising on changes in UK company legislation and Companies House processes

Qualifications:

Degree in Law, Business, Accounting or Finance and ICSA qualified (ACG or FCG)

Skills & Personal Qualities:

Strong knowledge of UK corporate law and practice, including the UK Companies Act and the various requirements of UK Companies House (understanding of other EMEA corporate law and practice is a plus).Ability to assess and mitigate legal and business risks and communicate clearly about the sameExcellent organisational and project management skillsAttention to detail and well organisedResilient to working in a high demand and fast paced environmentAbility to work with stakeholders, including senior managers and executives, across all levels of the businessFlexible, proactive and willing approach to work/new challengesExperience working with Computershare’s GEMS and AdobeSignAbility to train and manage a growing team of CoSec professionalsA sound grasp of corporate governance issues and a commercial frame of mindIntegrity and discretion when handling confidential informationStrong proven experience in an organisation of a similar size and global reach
