Role Purpose/Business Unit:

 

We are seeking a vibrant and dynamic executive to join our in-house Corporate M&A. The ideal candidate will be comfortable operating across various levels of seniority and possess the ability to engage in both technical and operational matters. This role is crucial in executing Vodacom's inorganic growth aspirations across the 8 African countries where we have a presence.Areas of focus include mobile network operations, fintech investment, the development of infrastructure assets including Towers, fibre and data centres, information and communication technologies, and new opportunities. Your responsibilities will include:

 

Evaluate merger and acquisition opportunities    

Develop and execute M&A and corporate development strategies to support Vodacom's growth objectives.Consider, review, and recommend for evaluation, selected merger and acquisition opportunities based on criteria such as targeted countries or regions, potential revenue, size of economy, etc., specifically focusing on Rest of Africa.Play a lead role in initiating and co-ordinating the evaluation of selected M&A opportunities – providing direction to business heads, supervising input from external advisors, co-ordinating compliance, tax, due diligence, financial, legal, etc., requirements.Liaise with Vodafone M&A business heads, with internal technical specialists (legal, tax, etc.) and with local company/operating company business line leaders, as necessary.Maintain up-to-date valuation scenario analysis on specific M&A targets. Build & maintain a knowledge management system and processes, to maintain up-to-date valuation scenario analysis, including tracking other transactions in the sector or valuation multiples of other companies in the sector.


Evaluate disinvestments    

Evaluate selected disinvestment proposals based on internal directives.Review the business case for disinvestment assessing factors such as rationale for disinvesting the business concerned, financial impact, strategic reasons why the business should not be retained within the group, etc.Evaluate potential purchasers’ ability to absorb the business, meet proposed terms and conditions, due diligence, etc.


Function as corporate financial advisor to Vodacom Group    

Provide corporate financial advice as required (DCF and impairment calculations, weighted cost of capital data, cash generation calculations, etc.) funding analysis, to support the finance/accounting function. (Provided via ME and Chief Officer to Board/Exco)..

 

Business Development    

Lead & engage the organization in the process of identifying business opportunities.Co-ordinate the collection of information, forecasts, and analysis of market dynamics to formulate business evaluations of opportunities.Identify & develop the supporting business case underpinning the opportunity.Challenge the financial & commercial information provided to ensure its rigour, consistency & integrity.Work with internal & external advisors to develop the optimal deal structure.Make decisions & negotiate with external parties based on legal, financial, and operational advice on the key deal parameters.

Leadership    

Management & supervision of project outputs & productivityProvide input into internal presentations, Exco reports, Board reports and other pieces of analysis on an ad-hoc basisThe ideal candidate for this role will have:

 

Master's degree in Business, Finance, Economics, or a related field; MBA, CA (SA), or CFA.Proven experience in M&A, corporate development, investment banking, management consulting, or corporate lawStrong analytical, financial modelling, and valuation skills.Excellent communication, negotiation, and presentation skills.Ability to work independently and as part of a team in a fast-paced, dynamic environment.High level of integrity, professionalism, and attention to detail.Minimum of 10 years experience in a financial, corporate finance, investment banking, financial services, or corporate law role.

 

Technical / Professional Expertise

Corporate finance/advisory experience coupled with tax and legal knowledge.Working knowledge of economicsKnowledge of national policies, regulations, etc., affecting mergers and acquisitions (socio-economic policies, BEE environmental laws, Competition Commission, stock exchange and takeover rules etc.) plus knowledge of current affairs.Competency / Performance Drivers Strong analytical skillsStrong verbal and written communication skills (presentations, report writing, etc.)Research ability (‘questioning mind’)Project management and execution experience Team player, with a proven ability to work across markets
