The Executive Compensation Manager is responsible for the overall design and implementation of equity, executive and director compensation programs, including, but not limited to, development and presentation of materials to applicable governing committees. Responsible for leading and drafting annual proxy disclosures. Overall accountability for ensuring effective and competitive executive compensation arrangements and communicating as part of overall total rewards. May manage 1-2 analysts.
Essential Functions:
Responsible for the strategy, design and implementation of equity, executive, and director compensation programs.Responsible for support of the Compensation & Organization Committee of the Board and other governance committees as needed. Leads all relevant efforts for meetings, including preparing materials and presenting materials.Develops and presents to various stakeholders; delivers the right message at the right time.Leads annual incentive compensation plan design process and ensures alignment to strategic objectives. Monitors market trends and obtains stakeholder feedback to ensure programs are effective and competitive.Collaborates with external executive compensation consultant(s), external legal counsel, and internal finance, legal, compensation, and human resources partners to develop, review, and/or draft recommendations for executives as well as for committee review and approval.Primary drafter of annual proxy disclosures oversees drafting of proxy tables and related footnotes. Reviews peer proxies for trends, reviews and responds to internal inquires related to Key’s proxy and potential future disclosures.Develops and manages communication plans for compensation programs, including internal management notifications and total rewards messaging.Advises executives and/or internal HR partners, internal legal, accounting, finance and payroll teams regarding complex offer letters and exit agreements.Manages, coaches and develops analyst team members on both technical and consulting skills. Makes all relevant personnel decisions (hiring, performance management, compensation, etc.).Competencies:
