Director - Strategic Due Diligence (M&A)

About the Corporate Development (“CD”) Team

CD is the global team responsible for implementing Cognizant’s M&A strategy and inorganic growth mandates. The CD team works across the entire value chain of M&A including sourcing, execution, and value capture and integration. We work in tandem with our Business Unit partners and corporate functions within Cognizant to realize our inorganic goals around growth and differentiation.

Over the past 6 years we have completed over 30 acquisitions globally deploying approximately $7 billion of capital and we have committed to making further acquisitions that strengthen our position across strategically important markets, industries and service offerings.

CD is strengthening its global presence by establishing an India based team with focus on strategic commercial due diligence (SDD), value capture (VC) and post-merger integration (PMI) capabilities.

Who are we looking for

CD is a high-impact function within Cognizant. We are responsible for high stakes transactions, and we regularly interface with senior executives in that context. We are looking for hands-on leaders who are creative with a problem-solving mentality and a nuanced understanding of risk. We are a small but global team that works in a very collegial environment; successful candidates will find a platform for personal and professional growth within CD.

Location: Bangalore

Your key responsibilities

· As part of the Global Strategic Due Diligence team within Corporate Development, you will work on the pre-close periods of an M&A transaction

· You will work on the conduct of strategic finance due diligence focused on value drivers, P&L performance, KPI benchmarks and other ad hoc commercial analysis as it relates to business case development

· The role whilst based out of India will support M&A pursuits across North America, Europe, UKI. Also will have primary responsibility for any APAC based pursuits

Additional responsibilities include:

Work on the end-to-end cross functional corporate due diligence and transaction management for M&A transactions Preparation of materials for and participate in target management meetings Collating findings of due diligence across all commercial and corporate functional due diligence work streams for review by our investment committee Reviewing and giving comments on legal contracts associated with transactions, ensuring risks identified in due diligence are appropriately considered Assisting in preparing Executive Leadership / Investment Committee deliverables and communications Coordinating transaction signing and closing procedures with relevant functional teams, including performing funds flow tie out Preparing communication including reports, memos, etc. to ensure continuity and a smooth transition during the post-closing phase to support the integration Demonstrate Cognizant’s core values and support inclusion and diversity goals Coach and train fellow associates where relevant, ensuring best practice across the team

What you bring to the table

· Industry Experience: Business services, Technology services or other professional services experience essential

· Functional capabilities: Prior experience in due diligence (financial, commercial, operational) with a top-tier consulting firm, big 4 or from another corporate development team

· Years of Experience: 10+ years of total experience with relevant M&A experience of over ~40 completed transactions in either deal execution, commercial due diligence/ M&A strategy or financial due diligence

Education: BA or BS Accounting, B Com, Finance or other relevant business degree; CPA, CFA, MBA or other relevant professional/ post-graduate qualification desirable
