POSITION SUMMARY:
The Counsel position is within Marathon’s Law Business Operations - LATAM group, the in-house legal team responsible for supporting the day-to-day business needs for the Company’s LATAM Operations. This position will be focused on providing legal advice and guidance for Marathon’s LATAM Operations, with an emphasis on its Mexico operations. Being a member of the Law LATAM group provides opportunities to practice in multiple substantive legal areas with a primary focus on contract negotiation and drafting, risk mitigation, counseling, and regulatory compliance. The successful candidate will be comfortable working in a team environment and collaborating with LATAM Law and other Law colleagues to support legal matters across the Company’s midstream operations.
KEY RESPONSIBILITIES:
Provides professional legal advice, counsel, and guidance to assure that the Company, its assets and its LATAM Operations are legally safeguarded, are in conformity with all applicable laws and regulations, and will not unduly expose the Company to risk.Work collaboratively with the Company’s attorneys and personnel to ensure the Company’s best practices and subject matter expertise are applied in and translated to the LATAM Operations.Reviews, drafts and negotiates commercial agreements in English and Spanish for the Company’s LATAM Operations, including: transportation (pipeline, rail, trucking, and marine); terminals and storage agreements; purchase and sale of fuels; marketing, brand licensing, and retail agreements; procurement-related supply and service contracts; and other industry-related agreements. Assists in developing policies, procedures and contract forms for the LATAM Operations.Analyzes legal, regulatory, permitting, and compliance issues affecting the Company’s LATAM Operations, including appearing before federal energy and other regulators, and educates management on areas of risk and potential exposure.Assists and advises the LATAM business development group in its day-to-day activities, including strategy, operational and administrative planning, and execution of non-disclosure agreements and other transactional documents.Provides legal advice and counseling on compliance and business integrity matters, including trainings on the Company’s Code of Business Conduct, Company policies and procedures, and legal/regulatory compliance matters applicable to the LATAM Operations.Supports the Company’s corporate legal and Tax functions in forming and maintaining LATAM legal entities, overseeing governance, drafting resolutions and powers of attorney, and notarization and recording before government agencies and regulators.Provides legal advice, counsel, negotiation, and assistance on other aspects of LATAM Operations, including but not limited to the following areas: labor/employment; credit; intellectual property; compliance; environmental; insurance; and litigation.EDUCATION AND EXPERIENCE:
Law degree (Bachelors in Law with license to practice in Mexico)Five (5) or more years practice experience as an attorney with at least 3 years of directly relevant energy experienceFluency (speaking and writing) in both Spanish and EnglishExperience in a law firm is preferred Experience in Oil & Gas is preferredSKILLS:
