Overview

Job Summary

The Corporate Attorney provides legal counsel across multiple areas, including real estate, employment, and general business contracts while coordinating with internal departments and outside counsel. This role assists in the preparation, review, and negotiation of a wide range of legal and transactional documents, including those related to commercial property development, construction contracts, and various business agreements.

 

Typical Duties and Responsibilities:

Works on the preparation of purchase agreements, ground leases, building leases, development agreements, easements, declarations and use restrictions and other related transactional documents. Review, analyze and negotiate all such documents.Works on all transactional aspects of commercial development for in-house projects and projects assigned to outside counsel.Works on entitlement aspects of commercial development and have familiarity with land use/entitlement issues related to commercial property development.Works on the review of construction contracts and related agreements to ensure terms most favorable for the company.Develop, review, analyze, negotiate and manage a variety of contracts, business agreements and related documents including non-disclosure, licensing, software and vendor agreements, services arrangements, bidding documents, and other commercial transactions and related litigation.Provide assistance for Human Resource and employment related investigations.Support employment litigation and arbitration proceedings, as assigned. Attend key depositions and mediations.Work with outside counsel responsible for obtaining land use approvals and representing company in related litigation, as well as manage associated fees and budget related to such litigation.Review due diligence materials, including title reports and surveys, conveyance documents and other matters affecting real estate.Coordinate with real estate developers and outside legal counsel, as well as with internal departments.Manage a high volume of real estate and construction transactions.Research legal issues and remain current on legal trends and risks.Suggest ways to improve financial savings and exceptional performance, as well as minimize risk to the company.Perform other duties as needed.

Requirements

Education:

Juris Doctorate Degree and admission to State Bar in at least one State.

 Experience:

At least two (2) years of legal experience in an established law firm or in-house organization.Experience in real estate transactions and/or construction related contracts, or employment litigation and arbitration proceedings.Practicing effective working relations with all levels of the organization.Exhibiting excellent organizational, analytic and communications skills.Demonstrating integrity and unquestionable ethics.Displaying effective presentation capabilities and interpersonal skills.Demonstrating a high level of maturity, presence, and discretion in handling of sensitive and confidential information.

 Ability to:

Ability to work in fast paced environment with quick turnaround.Prioritize and perform a variety of simultaneous tasks (multi-tasking), effectively manage time to ensure that deadlines are met.Identify legal or contractual issues and develop new approaches to resolve complex issues.Provide legal advice to senior management regarding various real estate matters.Remain current on federal and state laws.Perform work independently, with little or no administrative support.Assist in litigation case management from inception to settlement.Demonstrate excellent organizational, analytic and communications skills.Travel occasionally as needed.

 Preferred Education, Experience and/or Credentials:

Experience with commercial property development in a law firm or corporate environment; orExperience with employment law in a law firm or corporate environment.
