Job Description:

The Corporate Secretary’s Department oversees corporate governance, corporate regulatory compliance and company administration matters for the publicly traded parent company Sun Life Financial Inc. (TSX, NYSE, PSE: SLF), its principal operating insurance company Sun Life Assurance Company of Canada and all Canadian subsidiaries in the corporate structure. The role will be a member of the Corporate Secretary Department’s team that is responsible for managing the department’s compliance risks and ensuring the department’s operations and disclosure are compliant with relevant laws, regulations, internal policies and by-laws. The role’s main accountability includes non-financial regulatory compliance filings and related due diligence research, maintaining internal reporting procedures and company records, and participating in project work.

What will you do?

Prepare non-financial regulatory compliance filings for submission to federal, provincial and securities regulators across Canada and other jurisdictions

Conduct research and proper due diligence to ensure that the filings are completed in full compliance with related regulatory requirements and furnished with proper audit trails

Identify compliance requirements for day-to-day reportable compliance events in a compliance tracker and manage related processes and expectations with stakeholders involved

Maintain records for these companies, including information in the entity management database (GEMS) and signing authorities

Prepare required documentation (e.g. written documentation and certifications) to support the operating businesses for KYC requests, business transactions and applications, board proceedings, etc.)

Manage group mailboxes and triage requests

Develop compliance processes and workflows with the team and in collaboration with cross-functional stakeholders as needed

Process invoices and payments to sustain registrations and retain services required

Work collaboratively with the Board, Subsidiary Governance and Shareholder Services & Governance Solutions teams as required

Assist with other duties as delegated or assigned in the department, including routine and special projects, as required

What do you need to succeed?

3 to 6 years of experience as a Law Clerk or compliance or governance professional in a public company’s Corporate Secretary’s Department, law firm or in-house legal environment

Advanced computer skills (e.g. Microsoft Office applications, Adobe Acrobat Pro and data management systems) and use of office equipment

Ability to independently manage competing priorities with sensitivity to internal clients and deadlines

Meticulous, diligent, with a high attention to detail

Strong written and verbal communication skills

Excellent organizational skills

Team player with a strong work ethic and a desire for continuous improvement

Preferred Skills:

Law Clerk designation or equivalent

University degree or college diploma

Knowledge of entity and document management systems (GEMS and iManage knowledge an asset)

The Base Pay range is for the primary location for which the job is posted.  It may vary depending on the work location of the successful candidate or other factors.  In addition to Base Pay, eligible Sun Life employees participate in various incentive plans, payment under which is discretionary and subject to individual and company performance.  Certain sales focused roles have sales incentive plans based on individual or group sales results.
