A legal continuing education non-profit has an immediate opening for a skilled M& A Attorney! We are seeking a subject matter expert to assist on a contract basis with a specialized M& A project. This Attorney will be responsible for preparing and drafting articles, how-to guides, and templates around Mergers & Acquisitions, focusing on areas such as Special Purpose Acquisition Company (SPAC) Transactions, Private Equity M& A Transactions, Stock Acquisitions, or Leveraged Buyouts, for other attorneys to utilize as a resource.

The ideal candidate will have significant California-based experience in at least one of the following areas of M& A law:
+ Special Purpose Acquisition Company (SPAC) Transactions
+ Private Equity M& A Transactions
+ Stock Acquisitions
+ Leveraged Buyouts
Responsibilities:
+ Draft short articles that outline strategic considerations for M& A transactions, such as deal structuring, due diligence, or post-transaction integration.
+ Create quick reference charts and checklists, such as timelines for deal closings or summaries of key clauses in M& A agreements.
+ Develop how-to guides providing step-by-step instructions on tasks like drafting Letters of Intent (LOIs), negotiating representations and warranties, or conducting due diligence for stock acquisitions.
+ Prepare form templates for common M& A documents, such as confidentiality agreements, asset purchase agreements, or stock purchase agreements.
+ Provide best practices for mitigating risks in leveraged buyouts or navigating SPAC regulatory frameworks.
+ Highlight strategic considerations and common pitfalls attorneys should avoid in M& A transactions.
+ Conduct legal research to ensure all resources are accurate, relevant, and up-to-date with California and federal law.
+ Assist with additional content development projects as assigned.
Requirements
Qualifications:
+ 5-20+ years’ experience practicing M& A law in California.
+ Deep expertise in at least one of the following areas:
+ Special Purpose Acquisition Company (SPAC) Transactions
+ Private Equity M& A Transactions
+ Stock Acquisitions
+ Leveraged Buyouts
+ A strong understanding of California and federal laws impacting M& A transactions.
+ An active California Bar license.
+ Exceptional legal writing skills, with the ability to distill complex legal issues into clear, practical guidance.
+ Excellent communication and collaboration skills.
+ A proven ability to develop actionable resources, such as templates, checklists, and practice guides.
