Job Description Summary

This Associate General Counsel will be the company’s first securities attorney role.  Reporting to the General Counsel, the position will provide guidance and counsel in the areas of corporate governance, capital markets, securities, treasury, and mergers and acquisitions, as well as other legal issues related to the governance and financing of a global, publicly traded equipment rental company.



Position Responsibilities:

Compliance with Federal securities laws, including the Securities Exchange Act of 1933, Securities Act of 1934 and, including responsibility for prepping 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings.

Creating, monitoring, maintaining, and implementing corporate governance policies, processes, and structures, including compliance with stock exchange listings and SOX requirements.

Supporting Disclosure Committee and quarterly certification processes.

Supporting Investor Relations in reviewing earnings and analyst materials and complying with Regulation FD.

Supporting Treasury in raising money in the capital markets and negotiating and interpreting revolving credit facilities.

Supporting executive compensation matters and related disclosure issues.

Assisting with mergers and acquisitions and other strategic transactions as necessary.

Conduct training sessions on best practices, corporate policies, and compliance with relevant legal issues.

Managing corporate entity maintenance program for related entities.

Supporting the corporate secretary function with minutes and resolutions for board and committee meetings.

All other duties and projects as requested.



Requirements:
Education & Experience:

8+ years relevant experience in a top-tier law firm and/or in-house legal department.

Bachelor’s degree and a J.D. from an accredited law school and licensed to practice in at least one U.S. jurisdiction.

Proven expertise in securities law is required and experience with global, Fortune 500 companies preferred.

Must be practical, proactive, business-savvy and results-oriented with a focus on maximizing values and minimizing risk.

Must have the ability to work collaboratively across all levels of the organization to build trust and buy-in.

Excellent communication skills, sound business judgment and a self-starter with a roll-up-your-sleeves mentality.

Ability to be flexible, adaptable and able to operate when faced with certain levels of ambiguity while maintaining the highest standards of ethics and integrity.





Physical Demands:

Must be able to bend, squat, crouch and/or reach and lift up to 25 pounds or more, as required by the job. Some Sunbelt jobs may require driving for long periods of time, loading, and unloading heavy equipment, performing work in extreme weather conditions including rain, wind, or excessive temperatures and/or night and weekend work.
