About the Team

You will be part of the Legal Team that advocates for Williams-Sonoma, Inc.  The team provides legal counsel to the Company to allow it to achieve its strategic business objectives while managing risk.

 

About the Role

The Assistant General Counsel, Corporate, is responsible for providing a broad range of legal services to the Company, with the prime areas of focus being on public reporting and general corporate law.  She/he will work closely with management and will supervise outside counsel.  She/he will be a business partner who will collaborate effectively across the Company.  While this position calls for a substantial amount of independence, the successful candidate will operate as part of a close-knit team of supportive, open, friendly lawyers, paralegals, and other professionals.  The position is in the office at 3250 Van Ness Avenue, San Francisco, Monday through Thursday, with work-from-home on Friday.

Monitor corporate governance trends and regulatory developments (including new SEC Cybersecurity, Clawback Policy, and ESG rules) and ensure the Company is on track with best practices. Prepare, review and track (i) all ’34 Act filings and reports, ensuring that filings conform with applicable rules and are timely filed, (ii) press releases, earnings releases, and earnings scripts, and (iii) various other corporate actions requiring public disclosure. Manage Board and Committee meeting preparations and materials. Take the lead on legal aspects of the Company’s Sustainability efforts. Provide legal support for the Williams-Sonoma, Inc. Foundation. Assist with the Company’s business development efforts. Draft and negotiate commercial contracts. Manage and evaluate outside counsel.

At least 4 years of legal experience, including practice at a top-notch law firm. Experience in drafting and negotiating commercial agreements. Demonstrated ability to work creatively and cooperatively in a fast-paced environment. Superior organization and project management skills. Excellent interpersonal skills, strong self-awareness, and honed diplomacy skills. Excellent written, verbal, and communication skills, with an ability to listen actively and to communicate effectively throughout all levels of the organization. A professional demeanor and ability to interact at the executive level with persuasiveness and confidence. Strong business acumen. The action-oriented mindset of someone who proactively partners with business leaders to collaborate and resolve challenges. A law degree from a top-tier school and are licensed in good standing to practice law in California.

The expected starting pay range for this position is $180,000 - $225,000 annually Applicable pay ranges may differ across markets. Actual pay will be determined based on experience and other job-related factors permitted by law. In addition to competitive pay, compensation may include a variety of other components like benefits, paid time off, merit, and bonus opportunities.
