The Assistant General Counsel Commercial will be responsible for taking Paycor’s mission and company strategy and using it to set strategy, define priorities, and hire, manage and ensure successful execution by the attorneys and legal professionals within the Paycor Commercial Legal Team.

Job Summary   This attorney is Assistant General Counsel Commercial, the largest number of attorneys and non-attorney professionals on Paycor’s growing Legal Team. They will lead a Commercial Legal Team covering the following responsibilities: Provides transactions negotiation, drafting, and legal counsel for Paycor’s Sales and Business teams growing revenue and winning new clients, reseller relationships, and alliance partners; Provides support to Procurement on contracts with vendors (master services agreements, licensing, purchasing); Establishes novel contract structures to support new lines of business; Engages and collaborates with, and challenges fellow business leaders to determine appropriate decisions and standards applicable to significant, novel and unforeseen issues that combine business goals and legal considerations; Provides legal advice to the Product Team on HCM and software product-specific requirements covering a broad array of legal subject matter (e.g., privacy law, financial services/fintech regulatory, global expansion); Integrates acquired companies, intellectual property assets, and products into Paycor’s Commercial Legal terms, policies, and standards; Advises on, resolves, and manages customer, vendor, and other commercial disputes and litigation; and Provides legal counsel on other business-driven legal subject matter (e.g., advises the Marketing Team on standards applicable to trademarks, advertising and promotions); Leads the responsibilities as needed/as assigned to teams in a fast-paced, hands-on business operating environment.
The Assistant General Counsel Commercial will be expected to integrate team leadership and motivation, as well as providing direct support themselves on bespoke or highly complex transactions and issues, to execute their responsibilities. This attorney will work with fellow leaders at Paycor (including in Finance, Sales, Strategy, Partnerships/Alliances, Product, Revenue Operations, and Customer Experience) to make decisions entailing significant impact, which necessitate balancing judgments around company goals, strategic initiatives, and business benefit and reward vs. risk.

This leader will mature and scale the technology, policies, and operations supporting the Commercial Legal Team over time, including establishing a Contracts Lifecycle Management System, defining company approval policies related to material or significant business terms and transactions, and training business partners in the company on effectively working with an in-house Legal Team. The attorney will manage a Contracts Management/Administration team that handles the company’s standard form contracts and other matters with regularly defined issues. This attorney will be responsible for ensuring appropriate staffing (through in-house counsel and outside counsel resources, and a combination of attorney and non-attorney resource allocation) to execute the Legal Team’s responsibilities supporting company goals. They will also hire, train, and keep the Commercial Legal Team current on the requirements to support Paycor’s growth, maturity, and evolution as it expands its HCM product, potential industry adjacencies, and global presence. This lawyer will be responsible for developing and engaging outside counsel relationships that keep the company at the forefront of high-visibility issues. They will also define and meet the parameters of the Commercial Legal budget within the overall Legal budget.

This key leader will be a direct report of the Chief Legal Officer and will be a member of the Legal Leaders’ team that sets the priorities for, and ensures successful execution by, the overall Legal Team (Corporate, Commercial, and Privacy/Risk). A combination of leadership and collaboration is key to this individual’s success. This is an impactful leadership role that contributes directly to achieving Paycor’s goals as a maturing public company by independently managing a team that is capable of handling complex business issues entailing complex transactions, standard contracting, litigation and dispute resolution, intellectual property, legal operations, and attorney professional development. Success will be defined by advancing business priorities and achieving outcomes benefitting the company.
  Duties and Cor Responsibilities Set strategy and priorities for, hire and manage, and ensure successful execution of transactional counsel for Paycor’s Sales and Business teams growing revenue and winning new clients, reseller relationships, and alliance partners; Accountable for Legal team contracting support for Procurement (vendors, licensing, purchasing) and responsible for managing Contracts Management/Administration team handling standard form and other agreements with well-understood issues; Responsible for defining and establishing contract structures to support new or adjacent lines of business, working in concert with colleagues in Strategy, Finance, Partenerships/Alliances, Sales, Revenue Operations, and related functions; Engages and collaborates with, and challenges fellow business leaders to determine appropriate decisions and standards applicable to significant, novel and unforeseen issues that combine business goals and legal considerations; Responsible for providing legal advice to the Product Team on HCM and software product-specific requirements covering a broad array of legal subject matter (e.g., privacy law, financial services/fintech regulatory, global expansion); Partners seamlessly with Legal colleagues in Corporate and Privacy/Risk to integrate relevant legal requirements into legal advice to business leaders on transactions, HCM Product counsel, and similar initiatives; Oversee the Legal integration of acquisitions (acquired companies, intellectual property assets, and products) into Paycor’s Commercial Legal terms, policies, and standards Advise on and manage customer, vendor, and related commercial disputes and litigation; and Provide legal counsel on miscellaneous subjects (e.g., advise the Marketing Team on trademarks and standards applicable to advertising and promotions); Ensure that the Commercial Legal Team is high-performing in supporting a broad array of legal counsel responsibilities as needed/as assigned to teams in a fast-paced, hands-on business operating environment; Establish and execute on a strategy to scale the technology, policies, and operations supporting the Commercial Legal Team over time, including establishing a Contracts Lifecycle Management System, defining company approval policies related to material or significant business terms and transactions, and training business partners in the company on effectively working with an in-house Legal Team; Establish Commercial Legal budget for, and manage outside counsel, for Commercial Legal Team responsibilities that include potential and existing litigation, complex transactions, and providing HCM Product legal counsel; Decide and ensure appropriate prioritization, staffing, and support for the Legal requirements associated with the Commercial Legal Team, through a combination of in-house counsel, outside counsel, and technology systems/policies; Ensure that the Commercial Legal Team is appropriately experienced, and develop the team’s attorney and non-attorney professionals in line with developing laws, processes, and technologies, to support a fast-paced, growing operating business with complex and ambiguous needs; Other responsibilities as assigned. We also offer competitive compensation determined by each individual's relevant experience, skills, and education. We anticipate the base pay for this position to be between $172,050 - $293,730. In addition to base pay, Paycor Associates are eligible for either a performance-based annual bonus or commission, depending on the position.
